Terms of service

1. The parties

These terms are between Arsaviva Technologies Private Limited (“we”, “us”), the provider of the WhatEdge platform, and the business subscribing to it (“you”). By using WhatEdge you accept them.

2. What the service is

WhatEdge provides access to WhatsApp business messaging through the Official WhatsApp Business API, together with campaign, automation, inbox and reporting tools, and integrations with third-party systems.

WhatsApp is operated by Meta Platforms. Message delivery, template approval, account verification, green-tick eligibility and messaging tiers are determined by Meta under its own policies, not by us. We do not control those decisions and cannot guarantee their outcome.

3. Plans, billing and renewal

• Plan fees are as published on our pricing page or as set out in your quotation, and are billed monthly or annually in advance.
• Messaging is purchased separately from us and topped up in your dashboard. It is consumed as conversations are opened, and rates vary by conversation category.
• AI credits, where applicable, are purchased separately.
• Taxes are payable in addition as applicable. [REVIEW] State whether published prices are inclusive or exclusive of GST.
• Plan changes take effect immediately, with the difference adjusted on your next invoice.

4. Setup and support

API registration, business verification, template submission, standard integration setup and initial training are included in your plan. Custom integration work is scoped and quoted separately before it begins. Support is provided during our published working hours.

5. Acceptable use

You agree that you will not use WhatEdge to:

• Message people who have not consented to hear from you, including any purchased, scraped or rented list
• Continue messaging anyone who has opted out
• Send content that is unlawful, fraudulent, misleading, obscene, harassing, or that infringes another party’s rights
• Impersonate another business or person
• Breach Meta’s WhatsApp Business Messaging Policy or Commerce Policy, which apply to you as well as to us
• Attempt to circumvent platform limits, resell access without agreement, or interfere with the service

You are responsible for the content you send and for having a lawful basis to contact your recipients.

6. Suspension

We may suspend or limit an account where there is non-payment, a breach of the acceptable use terms above, a requirement imposed on us by Meta, or a credible risk of harm to recipients or to the platform. Where circumstances allow, we will contact you first.

7. Your data

Your contacts, conversations and content remain yours. You can export them at any time. On written request following account closure, we permanently delete your organisation’s data from production and backups within 30 days. See the privacy policy.

8. Availability

We work to keep WhatEdge available and monitored, but the service depends on third parties including Meta and our infrastructure providers. Unless a written service level agreement says otherwise, the service is provided without a guaranteed uptime commitment.

9. Liability

[REVIEW] Have your lawyer draft this clause. It should address the limitation of liability, the exclusion of indirect and consequential loss, and a liability cap tied to fees paid, consistent with Indian law.

10. Changes to these terms

We may update these terms. Material changes will be notified to customers in advance, and the date at the top of this page will be revised.

11. Governing law

These terms are governed by the laws of India, and the courts at Guwahati, Assam have exclusive jurisdiction. [REVIEW] Confirm with your lawyer.
